# Master Service Agreement

**This Master Service Agreement ("MSA") is made and entered into by and between Integotec LLC, with its principal place of business at 950 SE Oak Ave, Roseburg, OR 97470 ("Service Provider"), and the Client.**

### 1. **Scope of Services**

The Service Provider shall provide IT services, including but not limited to cybersecurity, network management, and technical support, as specified in individual Service Agreements.

### 2. **Engagements**

Each engagement will be defined by a separate Service Agreement which will reference this MSA.

### 3. **Service Levels**

The Service Provider will use commercially reasonable efforts to provide the Services in accordance with the Service Level Agreements (SLAs) set forth in each Service Agreement.

### 4. **Change Management**

Any changes to the scope of Services must be agreed upon in writing by both parties.

### 5. **Intellectual Property**

All intellectual property developed during the term of this MSA shall remain the property of the Service Provider.

### 6. **Confidentiality**

Each party agrees to protect the confidential information of the other party.

### 7. **Indemnification**

Each party agrees to indemnify and hold harmless the other party from any claims arising out of the performance of this MSA.

### 8. **Limitation of Liability**

The Service Provider’s liability under this MSA shall be limited to direct damages and shall not exceed the fees paid by the Client in the 12 months preceding the incident.

### 9. **Termination**

This MSA may be terminated by either party upon 30 days' written notice.

### 10. **Governing Law**

This MSA shall be governed by and construed in accordance with the laws of the State of Oregon.

### 11. **Entire Agreement**

This MSA, together with any Service Agreements, constitutes the entire agreement between the parties.
